All private limited companies and Limited partnerships registered in the UK must deliver a confirmation statement to Companies House at least once every 12 months. In the following article, we give you all the necessary information you need in order to file it correctly.
What is a Confirmation Statement?
A confirmation statement (CS01) is used by limited companies and limited liability partnerships to verify that important company data registered at Companies House and displayed on the public register is accurate and up to date. The Small Business, Enterprise and Employment Act announced that the Confirmation Statement will be replacing the Annual Return from the 30 June 2016.
All private limited companies and Limited partnerships registered in the UK must deliver a confirmation statement to Companies House at least once every 12 months, even if the company is dormant.
Information required for a Confirmation Statement
To submit a Confirmation Statement, companies need to check the information registered at Companies House and confirm that it is correct and up to date at the time of submission. Companies will need to check the following:
- Company name
- Registration number
- Registered office address
- Company SIC code
- Details or each director and secretary
- Full name
- Former names used for business purposes within the past 20 years
- Usual residential address
- Service address
- Nationality
- Date of birth
- Occupation
- Shareholders details
- Share held by each shareholder
- Class
- Amount
- Statement of capital
- Total number of shares of the company
- Aggregate nominal value of each share
- Aggregate amount (if any) unpaid on those shares
- For each class of shares, the company will also be required to provide:
- Prescribed of the rights attached to the shares
- Total number of shares of each class
- Aggregate nominal value of shares of that class
- Information’s about People with Significant Control (PSC)
- Name
- Month and year of birth
- Nationality
- Usual residential address
- Service address
When is the deadline?
Companies must file their Confirmation Statement at least once every 12 months. The due date is called the confirmation date, which falls on the anniversary of the company formation or anniversary of the last annual return. The company has 14 days after this date to deliver their Confirmation Statement. Companies can also search for their company the Companies House website to see when their next Confirmation Statement is due.
What if my company details are the same?
If the company details are the same as the last Confirmation Statement/ Annual Return, the company must still file the Confirmation Statement to confirm the details on the public record are correct.
Who is responsible for submitting the Confirmation Statement?
The company directors, secretaries are legally responsible for ensuring the Confirmation Statement is submitted to Companies House. This can be done online or via post. Failing to submit a Confirmation Statement is a criminal offense and can have serious consequences. Companies House may take steps to strike the company from the register.
