When establishing a new enterprise in Sweden, it is possible to choose between several options. In this article, we are covering the most common ways of entering to Swedish market.
You can choose between buying a ready-made company and establishing a company from scratch. All options have their own advantages and the best solution for you depends on your business goals and planned length of the project in Sweden.
The share capital of 50 000 SEK needs to be contributed if you are purchasing a ready-made company as well as establishing a new one. The difference lies in the moment when the payment needs to be made.
When establishing a company, the payment must be made immediately via new business bank account, which you are required to open simultaneously to applying for company registration. Since the share capital has to be paid immediately, then a startup account must also be opened in a Swedish bank or in another EU country, if the local banking law allows that. After the payment of the shares capital, it takes approximately one month for the AB to be entered in the Commercial Registry register.
In the case of purchasing an existing AB, shares capital of 50 000 is already registered in by us, through a temporary bank account, which means that an immediate payment of the shares capital is not necessary but can be done during the first fiscal year. Same goes for opening the new bank account. If an existing AB is bought, the sales note about the shares capital is presented to you with other documents. Therefore, you do not have to travel to Sweden to purchase the company. Once the purchase-sale transaction is completed and the documents about it are signed by you, it will take approximately two weeks for the change to be entered in the register.
To compare these two options – time it takes and the price are different. The most suitable option for you depends on your ability to open a bank account prior to registration and also if you want to make the payment of 50 000 SEK immediately or later.
An important plus of establishing a new AB is that you can be sure that it doesn’t have any negative past history. It is good to know that buying an existing company from 1Office does not mean a company with previous financial history. In most cases, the ready-made company is established only a few weeks prior to selling further.
But in case you do wish to buy an existing company with financial history, you should always ask to see the current balance sheet, annual report, and research the background of the company you plan to purchase in the registers and with the tax authorities.
Regardless of whether you decide to establish a new company or purchase a ready-made one, the next step is to decide whether to register the company with the Swedish tax authorities. The registrations to be made with the tax authorities include the registration of F-Tax, VAT number and registering as an employer.
It is important to note that in Sweden the board of a limited company (AB) must have at least one board member and one deputy board member, whereas the latter would have the right of representation only if it is specifically granted to him or her. Deputy board member is not considered a board member. In order to grant deputy board member the right of representation, only the corresponding box in the form must be checked and a separate document does not need to be drawn up.
Also – at least one member of the AB board of directors must be an EU citizen or possess an EU residence permit and Swedish personal number. If you do not have that, the law allows registering in a “person with the right to receive information (from authorities)” to fulfill the personal number request. 1Office Sweden provides that service.
