What happens if I don’t submit the annual report?
When the annual report is not submitted, the Business Register (Äriregister) may decide to impose financial penalties or even delete the company from the register.
When is the audit or review of an annual report mandatory?
The need for an audit or review of an Estonian annual report depends on your company’s size and financial indicators.
An audit is mandatory when at least two of the following conditions are exceeded:
- Sales revenue or income: €4,000,000
- Total assets as at balance sheet date: €2,000,000
- Average number of employees: 60 employees
A review is mandatory when at least two of the following conditions are exceeded:
- Sales revenue or income: €1,600,000
- Total assets as at balance sheet date: €800,000
- Average number of employees: 24 employees
An audit is also mandatory for a VAT payer when at least one of the following conditions is exceeded:
- Sales revenue or income: €12,000,000
- Total assets as at balance sheet date: €6,000,000
- Average number of employees: 180 employees
A review is also mandatory for a VAT payer when at least one of the following conditions is exceeded:
- Sales revenue or income: €4,800,000
- Total assets as at balance sheet date: €2,400,000
- Average number of employees: 75 employees
