Company Formation

Company formation is quick and easy. Just fill out the registration forms, sign the documents, send to us by email and we will submit documents on your behalf. Directors of an Irish company are required to have an Irish ID number, a PPSN, a RBO or VIF number.
Irish company registration will take up to 3 weeks from submitting to registration office.

Process flow:

  • Fill in simple forms
  • If you do not have PPSN or RBO number, we will send you VIF application form to be signed and notarized in your home country
  • We will go over the information and send you the application that needs to be signed. Please print it, sign it and upload it back to the my1Office.
  • All necessary documents will be delivered to the Companies Registration Office. The estimated processing time is up to 3 weeks and the registration certificate will be sent to the company’s official e-mail address.
  • You can start your business activities.

 

Important information:

• At least one of the directors is required to be resident in a member State of EEA (member states of EU plus Iceland, Liechtenstein and Norway). If none of the directors is resident in EEA, mandatory bond to the value of €25,000 and for the period of two years is required prior to company formation.
• In case a bond is required, company formation process is longer and will be completed after the Companies Registration Office has received the bond from insurance company.
• The bond is provided by a Third Party insurance company and is non-refundable. The cost of the bond for two years is 2000 EUR + VAT.
• Please note that service contract with 1Office is subject to certain acceptance procedures. KYC (Know Your Customer) procedure includes the verification of the identity of directors, shareholders, beneficial owners, and collecting general information about the business.

 

Mandatory registrations

All Irish companies are obligated to submit the data of the person who benefits from the company’s activities’, or so-called beneficial owner, to the Central Register of Beneficial Ownership of Companies and Industrial and Provident Societies (RBO). A beneficial owner is a private person who directly or indirectly holds the company shares or voting rights or otherwise exercises control over the company. We will help you with determining the beneficial owner, preparing and submitting the registration documents to the RBO.
It is also mandatory for all Irish companies to register for Corporate Tax within one month of trading.

Registered local address is mandatory for every Irish company. Important information:

Irish company is required to file the First Annual Return after six months from registration.
Failure to file the report on time will result in losing accounts audit exception. Preparing and filing the company’s First Annual Return is available for an extra tee of 100 EUR + VAT.
Company seal is a tool for embossing the name of the company on legal documents – the seal ensures authenticity and acts as the signature of the company. Seal is available for 70 EUR + VAT.
My Virtual Office is a yearly subscription service. The period of one year starts from the date the service is bought.
The fee for the next year’s period will be issued from your credit card on the first day of the month prior to the end of service period.
Access to documents in my1Office account after termination of contract is subject to the fee of 50 EUR.
