Closure processes: Step-by-step
- Shareholders’s meeting decision
The general meeting must approve the liquidation - Notification to the Trade Register
Once the decision is made, the liquidators notify the Finnish Trade Register (PRH) - Closure activities
During liquidation, the liquidator collects receivables, sells assets, pays debts, and prepares final accounts.
- Final meeting and settlements
The liquidator prepares final financial statements (lopputilitys) and a final report. - Deregistration
Once final settlement is registered, the company is removed from the Trade Register.

Tax Deregistrations: Step-by-step
Deregistering your company from tax registers (VAT, prepayment, and employer) when winding down operations in Finland is simple. Here’s how it works and what is included in the price:
- Ensure tax matters are up to date
All final tax returns must be submitted and taxes paid before deregistration.
- Adjust prepayments if needed
Review and request changes to income tax prepayments in MyTax to avoid over- or underpayment. - Notification of termination
An authorised person or a director submits a notification of termination via the Business Information System (YTJ), which informs both the Tax Administration and Trade Register. - Automatic removal from registers
The Tax Administration removes the company from the VAT, prepayment, and employer registers based on the notification. - Confirmation and closure
Once processed (typically after final Trade Register deregistration), the company is fully removed from all tax registers.
