The deadline for submitting annual report 2011 is 30th of June 2012
The annual report must be submitted to the Commercial Register within six (6) month after the end of company’s financial year. For the companies who use calendar year as financial year, the deadline is 30th of June 2012. We ask you to contact your 1Office accountant on this matter before 15.06.2012. Conversion of share capital from EEK to EUR
We kindly remind you that all companies registered in Estonia are obliged to convert their share capital to euros. Before this you can’t make any other changes in the share capital, board or statutes. 1Office will help you prepare all necessary documents for making necessary changes in Commercial Registry through Company Registration Portal or at Notary office.

Board member contracts
We would like to inform you that the Employment Contracts Act can not be applied to Board Members. Thus we advise your company to enter into an agreement with Board members (A Board Member Contract), to protect the company´s rights and interests. 1Office offers Board Member Contracts both in Estonian and English languages.
Management board members term of office renewal
Together with the share capital conversion we also recommend reviewing the term of office of the management board members. Commercial Code amendments entered into force in January 2011 allow management board members of a private limited company to be appointed for an unlimited term unless the articles of association prescribe a fixed term. Previous Commercial Code allowed maximum of 5 year term. This could mean that the board members of Estonian companies founded in the first half of 2007 or earlier are not entitled to sign on behalf of their companies until their term of office in renewed.
