The Estonian Business Register serves as the official repository for all legal entities registered within Estonia. It acts as a central database, providing comprehensive information about businesses, including their structure, ownership, and key details required for legal compliance. Once you have registered your company in the Business Register, the portal allows you to see legal entities connected to you, make changes to the data, submit petitions and documents to the register and submit annual reports. All data submitted to the register about Estonian companies can be easily accessed by typing in the company name or registry code at the search bar. This is a very simple way to make sure your company’s data is up to date and correct. But it also gives you quick and free of charge access to the data of your current or potential customers and partners.
Let’s look at what information is recorded in the Business Register
Company’s registry card is the main document to prove that the company is registered in the Estonian Business Register. A registry card is something a financial institution would normally ask you to provide when applying for IBAN account. It contains the following main information about the company:
– Name
– Registry code
– Address and e-mail
– Registered share capital
– Directors
– Legal form
– Date of approving last Articles of Association
– Financial year
– List of shareholders
Moreover, Business Register keeps information about company’s VAT registration, submitted annual reports, tax debts, main business activity and beneficial owners.
Changes in the data of the company, such as address, directors, share capital, shareholders, must be duly reported to the Business Register. Some changes can be filed simply by signing the respective petition, for example change of address. Some changes require submitting additional legal documents, for example a change of capital or shareholders.
How to change data of the company in the Business Register
Once your business gets going, sooner or later there’s a need to file some changes to the Business Register.
The management board of the company is responsible for keeping records correct and up to date in the register. Providing false information can result in a fine or criminal punishment. Any change taking place in the records of the company that are kept by the Business Register must be reported without delay.
Estonian Business Register accepts applications and documents in Estonian language and digitally signed with Estonian ID card or signed with notarized form.
To be able to file everything online, the management board should have Estonian ID, either residency or e-residency ID card. Therefore, we strongly suggest applying for e-residency. Estonian ID card will make company management quick, easy and affordable.
In case management board does not have Estonian ID card, applications and documents must be signed in front of a notary. Depending on the country of signing, documents must be certified with Apostille or legalized to be acceptable by the Business Register.
It takes 5 business day from submission of documents to register requested changes in the data of the company.
