UK Company Formation Guide · 2026 · 6 min read
Every UK limited company needs a registered office address, and residency has no bearing on the requirement. This guide explains what a registered office address actually is, why non-residents cannot opt out of it, how it differs from a director's service address and a trading address, what changed under the 2024 Companies House rules, and how to keep a director's home address off the public register entirely.

The requirement does not bend for non-residents
Companies House requires every company incorporated in the UK to hold a registered office address in England, Wales, Scotland or Northern Ireland, regardless of where the director or shareholder is based. There is no overseas exemption and no residency threshold that changes this. A non-resident director cannot use an address in their home country as the registered office, even if that is where the company actually operates from. This is typically the first practical obstacle for a founder incorporating a UK company from abroad, and it applies from the day of incorporation onward, not just at setup.
It is public, permanently, once you use it
The registered office address sits on the Companies House public register, searchable by anyone, free of charge, indefinitely. Using a home address is legally permitted, but once it is entered as the registered office it stays on public record for the life of the company and remains searchable afterward. For a non-resident director this converts a personal residential address on another continent into a permanently discoverable detail tied to a UK legal entity, along with the practical consequences that follow: unsolicited mail, cold approaches, and a home address that cannot later be removed from historical filings even if it is changed going forward.
| Address type | Public on register? | Can be non-UK? | Purpose |
| Registered office | Yes | No, must be UK | Statutory mail from Companies House, HMRC, courts |
| Director's service address | Yes | Yes, anywhere | Director's official correspondence address |
| Residential address | No, private | N/A | Identity verification only, unless also used as one of the above |
| Trading address | No, not statutory | Yes | Where the business actually operates from |
Registered office, service address, trading address: not the same thing
These three are confused constantly, and the confusion causes genuine compliance mistakes.
Registered office address is the company's official legal address, mandatory, public, and must sit in the jurisdiction of incorporation. Director's service address is a separate, mandatory, publicly visible correspondence address for each individual director, but unlike the registered office it can be located anywhere in the world and does not need to match the registered office. Trading address is wherever the business actually operates day to day. It is not a statutory requirement, is not necessarily public, and can differ entirely from both of the others.
A director's residential address only becomes public if it is also entered as the service address or the registered office. Keep it out of both, and it remains on Companies House's private register, disclosed only to specified authorities such as credit reference agencies and the police.
Need a compliant UK registered office address?
Central London address, mail scanned and forwarded, active within one business day.

Since the Economic Crime and Corporate Transparency Act changes took effect in March 2024, an "appropriate address" is defined more strictly than before. Post must be received by someone acting for the company, and receipt has to be acknowledged. A PO box is no longer sufficient on its own, and an unmonitored virtual listing that simply forwards mail without anyone confirming delivery falls short of the standard. This matters beyond compliance too. Clients, banks and partners read a registered office address as a signal, and a monitored central London address does more for a non-resident founder's credibility than an address nobody is actually watching.
Choosing a registered office provider
Three things are worth checking before committing to a provider: whether the address can also serve as the director's service address so a second purchase is not needed, how quickly the address activates relative to a company formation timeline, and whether scanned mail is delivered digitally without extra per-item charges. A provider that bundles the registered office and service address together, activates within a day, and includes digital mail handling as standard removes most of the friction non-resident founders run into at this stage.
Keep your home address off the public register
1Office UK provides a registered office and director's service address as standard, for non-resident and UK-based founders alike.

Can a non-resident use their home country address as a UK registered office?
No. Every UK company must have a registered office address physically located in the UK jurisdiction of incorporation, regardless of where the director lives. There is no overseas exemption.
Does a UK registered office address have to match the director's service address?
No. The two are separate requirements. The registered office must be in the UK. The director's service address can be anywhere in the world, including the same address as the registered office if convenient.
Will my home address be visible if I use it as my registered office?
Yes. Once an address is entered as the registered office or the director's service address, it appears on the public Companies House register and remains searchable. A director's residential address stays private only if it is never used for either purpose.
Can I use a PO box as a registered office address?
No. Since March 2024, a registered office must be an address where post can be physically received and receipt acknowledged by someone acting for the company. A PO box alone does not meet this standard.
How quickly can a UK registered office address be set up as a non-resident?
This depends on the provider. 1Office UK activates a registered office and director's service address within one business day, so it does not delay company formation.
